This is a legal agreement between you ("Affiliate") and Maverick Aviation Group ("MAG"), in which you will market products supplied by MAG through the Internet in return for a commission (defined below). By clicking the "I Accept" button at the end of this agreement, you are agreeing that you have read and understand the terms and conditions in this Agreement and that you will be legally responsible for every term and condition.

The terms "Affiliate," "you," and "your" are referring to the applicant. The terms "we" and "our" refer to Maverick Aviation Group. "Products" refer to the products and services provided by Maverick Aviation Group.

We act as independent parties and this agreement does not form any partnership or joint venture.

The initial term of the Agreement will be 1 year from the date of our acceptance of your application for the affiliate program. The Agreement will automatically renew each year on the anniversary date of the initial Agreement unless a 30-day written notice is given prior to the renewal date.

Termination may happen with or without cause with a 30-day written notice from either party.

In order to be considered for our Affiliate Program, the applicant must be a valid business owner, corporation, proprietor, DBA, or representative within the travel and tourism industry.

Affiliate will receive a 10% commission less fuel charge, when applicable, of the total purchase amount of every fulfilled reservation. Fulfilled reservations are defined as reservations that have been flown and paid in full. Any fees added to the retail price of the products are non-commissionable.

For a sale to generate a commission for an Affiliate the customer must complete the tour and payment must be submitted in full. Commission will not be earned on cancelled, no-shows or proposed bookings.

Commission can only be earned between the acceptance of the Affiliate application and the termination date.

Payment of commission is paid in USD. Commission fees shall be paid on the 5th and 20th of each month following the date in which each Product purchase is completed. Please print and fill out the W-9 Tax Form then fax back to 702-798-3017, Attn: Maverick Affiliate.

MAG makes no guarantee or warranty as to the amount of Commission fees that may be generated by Affiliate's participation in the Affiliate Program.

Affiliate will be provided a username and password to monitor your tour bookings on our secure Affiliate Program dashboard located at maverickhelicopter.com. The dashboard will provide an overview of your sales statistics, reports, and other information, in addition to the graphics and HTML codes that allow you to create links from your website to ours. Sales statistics will be updated on a bi-weekly basis and Affiliate agrees that the sales statistics and reports are the final determinate of the bookings for which commissions will be calculated.

MAG will be solely responsible for the processing of all orders place by an Affiliate's customer on the Affiliate's site. Availability of our products and services may vary from time to time and price is always determined by MAG. We maintain the right to reject any order that does not comply with our rules, policies, or operating procedures.

Affiliate will market Products to its customers by providing links from Affiliate's website to MAG's website www.maverickhelicopter.com. Affiliate is authorized to promote the Products, subject to the terms and conditions in this agreement.

Customers of the Affiliate are provided the same benefits and level of service as any other MAG customer.

MAG will provide Affiliate with a uniform resource locator ("URL") through which Affiliate can track the Product purchases of Affiliate customers.

MAG has the right to monitor Affiliate's website to ensure the HTML links to MAG's site are appropriate. If MAG determines that the HTML links on Affiliate's website to MAG's website are not appropriate, then MAG will either notify Affiliate of any needed changes or alternatively may terminate this Agreement with a 30-day written notice to Affiliate. If, in the event, MAG notifies Affiliate of changes to be made to the HTML links and such changes are not made within 7 calendar days, MAG may immediately terminate this Agreement with written notice to Affiliate.

Affiliate shall offer the Products at MAG's retail prices and all booking requests from Affiliate's customers are subject to MAG's acceptance, and in accordance with the Product terms and conditions.

Affiliate's domain name shall not include the words "Maverick Aviation Group(s)," "Maverick Helicopter(s)," "Maverick Airline(s)," or "Mustang Helicopter(s)." Nor will Affiliate purchase any domain name or other right to exploit the MAG name and the names of their sister companies and products for the purpose of having Affiliate website appear as a search result or for any other reason. Violation will result in immediate termination of this Agreement by MAG.

Upon termination of this Agreement, MAG will pay any outstanding payments to Affiliate within 90 days of the termination date, and any outstanding debit shall be paid by Affiliate to MAG within 30 days of termination date.

Upon termination of this Agreement, Affiliate agrees to immediately remove all HTML links from Affiliate website linking to MAG's website.

MAG has the right to not accept any website into the Affiliate Program based on the site content. Sites that do not qualify for the Affiliate Program include, but are not limited to sites that are:

• X-rated or promote sexually explicit material
• Promote violence
• Promote discrimination based on race, sex, religion, sexual orientation, nationality, disability, or age
• Promote illegal or questionable activities
• Violate intellectual property rights

MAG does not, in any way, participate in unsolicited e-mailing (i.e. spamming) and Affiliate is expected to adhere to the same policy. Violation of this policy results in immediate termination of this Agreement.

Affiliate may not place links to MAG on any third-party newsgroups, message boards, blogs, unsolicited e-mail and other forms of spam, link farms, counters, chat rooms, or guestrooms. Affiliate will be responsible for all usage and activity on your account and for the loss, theft or unauthorized disclosure of your password. You shall provide MAG with immediate written notification of any known or suspected unauthorized use of your account or breach of the security of your account.

It is the responsibility of the Affiliate to follow all applicable copyright and trademark laws that pertain to your site. To use another person's copyrighted or trademarked material, you must have express permission and we will not be held responsible if you use another person's copyrighted or trademarked material in violation of the law.

Affiliate and MAG agrees that use of other party's name in promotional activities to include Press Releases or other related activities will not be used unless consent is obtained from the other party.

It is the responsibility of the Affiliate to maintain and update their site. Since the information on MAG's site is updated frequently, it is your responsibility as an Affiliate to update the content of your site on a regular basis to maintain consistency and accuracy between your site and ours.

Affiliate agrees that they will not copy or resemble the look and feel of MAG's site. You will not create the impression that your site is our site or a part of our site in no way.

Unless consent is obtained, each party agrees that all information concerning the other party to include, without limitation, the terms of this Agreement, business and financial information, customer lists, and pricing and sales information, will stay confidential and not used, directly or indirectly, for any purpose except when necessary to complete obligations in this Agreement or if the information is known or publicly available.

Affiliate must clearly post your privacy policy on your site and make it available to all visitors to your site. Your privacy policy must meet the terms of all laws and regulations regarding the privacy of visitor information.

MAG WILL NOT BE HELD LIABLE FOR ANY INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES FOR ANY LOSS OF REVENUE, PROFITS, OR DATA ARISING IN CONNECTION WITH THIS AGREEMENT.

MAG MAKES NO EXPRESS OR IMPLIED WARRANTIES THAT THE OPERATION OF THEIR WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE AND MAG WILL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY INTERRUPTIONS OR ERRORS.

MAG WILL NOT SELL AFFILIATE CUSTOMER LISTS TO ANY THIRD PARTY. AFFILIATE UNDERSTANDS THAT MAG MAY SOLICIT CUSTOMERS THAT MAY DIFFER FROM THE TERMS IN THIS AGREEMENT TO ENCOURAGE DIRECT BUSINESS.
